GENERAL TERMS AND CONDITIONS OF ADB-ASSIST BV<\/strong><\/p>\n

<\/p>\n

Article 1. General Provisions and Validity<\/strong><\/p>\n

<\/p>\n

1.1. These general terms and conditions apply to any agreement between, on the one hand, the driver, client, owner, lessee, or user of the vehicle (hereinafter: the \u201cCustomer\u201d) and, on the other hand, ADB-ASSIST BV (hereinafter: \u201cADB-ASSIST\u201d) regarding the towing (including loading and\/or unloading), transporting, and\/or storing\/retrieving of the Customer\u2019s vehicle (hereinafter: \u201cRoadside Assistance\u201d).<\/p>\n

<\/p>\n

1.2. Any request for towing or roadside assistance, or the signing of the service order, constitutes the Customer\u2019s unconditional acceptance of these general terms and conditions. The application of any general terms and conditions or purchasing terms and conditions of the Customer is expressly excluded.<\/p>\n

<\/p>\n

1.3. The Customer is not entitled to transfer its rights and obligations under the agreement to third parties without the written consent of ADB-ASSIST. ADB-ASSIST is entitled to transfer its rights and obligations to third parties or to engage subcontractors for the performance of the Roadside Assistance service.<\/p>\n

<\/p>\n

Article 2. Prices<\/strong><\/p>\n

<\/p>\n

2.1. The applicable rates are determined by the individual agreement with the client, the applicable agreement with an insurance or assistance company, the confirmation of engagement, or the applicable regulations governing the intervention in question. These individual rate agreements are confidential and are not publicly disclosed. Where required by law, the client in question will receive information regarding the price or the method by which it is calculated prior to the assignment.<\/p>\n

<\/p>\n

2.2. For business customers, the agreed-upon prices do not include VAT and applicable taxes, unless otherwise agreed. For consumers, prices, taxes, and mandatory fees are disclosed in accordance with legal requirements.<\/p>\n

<\/p>\n

2.3. Impoundment and storage costs are calculated according to the rates or calculation criteria applicable to the case in question, taking into account, among other things, the vehicle category, the duration of impoundment, the nature of the intervention, and any special safety or security measures. The party liable for payment will receive the relevant information in accordance with statutory disclosure requirements.<\/p>\n

<\/p>\n

2.4. If the assignment is carried out at the request of a government agency, law enforcement or judicial authority, insurance company, or social assistance organization, the applicable arrangements and billing destination will be determined on a case-by-case basis. Invoicing an insurance company or assistance organization requires a valid agreement or confirmation and does not automatically alter the legal rights or obligations of other parties involved.<\/p>\n

<\/p>\n

Article 3. Billing and Payment<\/strong><\/p>\n

<\/p>\n

3.1. Unless expressly agreed otherwise, all invoices from ADB-ASSIST are payable in cash no later than 14 calendar days<\/strong> after the invoice date.<\/p>\n

<\/p>\n

3.2. If the Customer consists of multiple persons (natural and\/or legal persons), they are jointly and severally liable for payment of the invoice.<\/p>\n

<\/p>\n

3.3. Nonpayment:<\/strong> In the event of nonpayment by the due date, the Customer shall be liable, by operation of law and without prior notice of default, for:<\/p>\n

<\/p>\n

Late payment interest of 8% per year on the outstanding amount.<\/p>\n

<\/p>\n

A lump-sum compensation of 12% of the invoice amount, with a minimum of \u20ac125.00<\/strong>, to cover administrative and financial losses.<\/p>\n

<\/p>\n

An administrative fee of \u20ac10.00 per reminder.<\/p>\n

<\/p>\n

Any collection costs (bailiff fees, court costs) shall be borne in full by the Customer.<\/p>\n

<\/p>\n

3.4. Complaints regarding the invoice must be submitted to ADB-ASSIST by certified mail within 10 calendar days of the invoice date, failing which the right to object shall lapse. If no complaint is filed within this period, the invoice shall be deemed irrevocably accepted.<\/p>\n

<\/p>\n

3.5. An administrative fee of \u20ac12.50 will be charged for each request to amend an invoice that has already been issued (e.g., address change).<\/p>\n

<\/p>\n

Article 4. Right of Retention<\/strong><\/p>\n

<\/p>\n

4.1. As long as the Customer has not paid the amounts due (invoices, interest, and fees) in full, ADB-ASSIST has the right to suspend the return of the vehicle (right of retention). This will occur without prior notice of default and without ADB-ASSIST being liable to pay any compensation to the Customer for the non-use of the vehicle.<\/p>\n

<\/p>\n

Article 5. Liability, Risk, and Force Majeure<\/strong><\/p>\n

<\/p>\n

5.1. Risk:<\/strong> The Customer bears all risks of loss, destruction, or damage to the vehicle and the goods inside it during the Roadside Assistance.<\/p>\n

<\/p>\n

5.2. Limitation of Liability:<\/strong> ADB-ASSIST shall perform the agreement to the best of its knowledge and ability (best-efforts obligation). Except in cases of fraud or willful misconduct, ADB-ASSIST\u2019s liability is limited to the lesser of the following two amounts:<\/p>\n

<\/p>\n

The amount of the respective invoice (excluding VAT); or<\/p>\n

<\/p>\n

The amount actually paid out by ADB-ASSIST\u2019s insurer in the claim in question. The Customer acknowledges having reviewed ADB-ASSIST\u2019s current insurance policy and declares that he or she has been sufficiently informed about it.<\/p>\n

<\/p>\n

5.3. ADB-ASSIST shall in no event be liable for indirect damages, consequential damages, loss of use or loss of profits, damages to third parties, or damages caused by a defect in the vehicle itself or by the Customer\u2019s actions.<\/p>\n

<\/p>\n

5.4. Electric & Hybrid Vehicles:<\/strong> ADB-ASSIST is not liable for damage resulting from the (spontaneous) ignition of batteries in electric or hybrid vehicles. All costs related to safety procedures for such vehicles (e.g., submersion container, monitoring, treatment of firefighting water, specialized storage) are entirely the responsibility of the Customer.<\/p>\n

<\/p>\n

5.5. Damage Report:<\/strong> Any damage to the vehicle must be assessed in the presence of an ADB-ASSIST representative before the vehicle leaves the premises. In any case, any complaint must be reported in writing within 48 hours of receiving the vehicle; failure to do so will result in the forfeiture of any right to compensation.<\/p>\n

<\/p>\n

5.6. Force Majeure:<\/strong> ADB-ASSIST is not liable for delays or failure to perform due to force majeure (e.g., weather conditions, strikes, traffic jams, government measures, epidemics).<\/p>\n

<\/p>\n

Article 6. Protection of Personal Data (GDPR)<\/strong><\/p>\n

<\/p>\n

6.1. Personal Data Processed<\/strong> byADB\u2011ASSIST BV processes only the personal data necessary for carrying out a roadside assistance assignment and the associated administrative tasks. This data is collected via the service order form, telephone contact, digital communication, or documents provided by the customer (such as the data in an attachment or Excel file). It includes the following categories of data:<\/p>\n
